Who we are looking for

The Vice President, Corporate Secretarial & Legal Entity Management supports the execution and continued evolution of State Street’s global Legal Entity Governance framework. This role is responsible for delivering high-quality corporate secretarial services, leading strategic governance and legal entity initiatives, and ensuring legal entities operate in compliance with regulatory requirements and governance standards. 

The position combines board governance execution, regulatory compliance oversight, strategic project delivery, and legal entity management to support a scaled, consistent global operating model. The role also serves as a leadership resource for other corporate secretaries, helping drive consistency and best practices. The role will support and advance the expansion of State Street Bank and Trust’s governance oversight and legal entity management model. 

What you will be responsible for

  • Corporate Secretarial 
  • Lead end-to-end board and committee governance for assigned legal entities 
  • Coordinate meetings, agendas, materials, and minutes 
  • Maintain statutory records and corporate documentation 
  • Track board actions, resolutions, and governance deliverables 
  • Ensure timely and accurate completion of regulatory filings and certifications 
  • Act as liaison between boards, management, and key stakeholders 

 

Legal Entity Management 

  • Support implementation of Legal Entity Governance Standards and frameworks 
  • Maintain entity governance structures, charters, and policies 
  • Ensure compliance with jurisdictional regulatory requirements 
  • Support entity lifecycle activities (formation, maintenance, dissolution) 
  • Contribute to entity rationalization and structural optimization initiatives 
  • Support and advance the expansion of State Street Bank and Trust’s governance oversight and legal entity management model 

Regulatory & Risk Oversight 

  • Coordinate regulatory examinations, audits, and required documentation 
  • Monitor regulatory filings and ensure entities remain in good standing 
  • Identify governance or compliance risks and escalate appropriately 
  • Support alignment to global frameworks (e.g., operational resilience, outsourcing, risk governance) 

Data & Reporting 

  • Maintain accuracy of legal entity data in governance systems (e.g., Blueprint) 
  • Support governance controls, certifications, and reporting requirements 
  • Contribute to management reporting and legal entity dashboards 

Stakeholder Management 

  • Partner with Legal, Risk, Compliance, Finance, and Business teams 
  • Support coordination across regions and legal entities 
  • Drive consistency and best practices across the governance framework 

 

Preferred Qualifications

  • 8–12+ years of experience in corporate secretarial, legal entity management, or governance functions 
  • Strong understanding of corporate governance, board processes, and regulatory requirements 
  • Experience supporting regulated entities, preferably in financial services 
  • Ability to manage multiple stakeholders across jurisdictions 
  • Strong written communication skills and attention to detail 
  • Proven risk and control mindset 

 

Why This Role 

This is a high-impact role providing direct exposure to senior management and boards, contributing to the continued evolution of a global legal entity governance model and strengthening regulatory posture across the firm.

Salary Range:

$120,000 - $202,500 Annual

The range quoted above applies to the role in the primary location specified. If the candidate would ultimately work outside of the primary location above, the applicable range could differ.
