As a Private Markets Fund Counsel in our Private Market Operations Fund Formation Team you will play a key role in advising on fund structuring, legal advisory, regulatory and tax matters.
Your key responsibilities include:
Lead the structuring set-up of investment funds and managed accounts. The spectrum is broad from open-ended and closed-ended private equity, private credit, infrastructure, real estate funds, fund-of-funds or separate managed accounts offerings typically domiciled in Luxembourg, Ireland, Delaware, Cayman Islands, etc.;
Oversee cross-functional project management, coordinating with legal, tax and investment teams to ensure timely launches;
Draft and review of fund offering documents. Lead negotiations with potential investors on terms and conditions in cooperation with external tax and legal advisers.
Requirements
A law degree from a top university is required. Additional qualifications such as an LL.M. or a degree in business administration are considered advantageous;
Minimum of 7 years of relevant experience in fund formation, ideally within an in-house position at a Financial Institution with a focus on private market products. Additional experience gained in a law firm is a strong asset;
Strong legal drafting skills and a good understanding of the operational implications of the fund products;
A solid understanding of the private market fund terms and legal and regulatory requirements of investment structures. A good understanding of German investors and insurance regulations and of investment tax matters is a plus;
Proven leadership experience and a strong commercial mindset developed through previous roles;
Excellent communication and negotiation skills and a strong ability to perform under pressure;
Capable of managing complex projects involving numerous stakeholders;
English and German on a proficient level, including advanced legal drafting skills;
You are a collaborative team player but also have an independent working style; you focus on pragmatic solutions with sufficient attention to the details and maintain a strong client service orientation at all times.
