HEAD OF GOVERNANCE

Are you a strategic leader with a passion for governance, risk oversight, and organizational excellence? We are seeking a highly experienced Head of Governance to play a pivotal role in shaping and strengthening the governance framework of our Luxembourg-based banking institution.

As a trusted advisor to the Authorized Management and the Board of Directors, you will be responsible for ensuring that the Bank maintains a robust and effective governance framework that supports regulatory compliance, sound risk management, and the successful delivery of its strategic objectives. You will lead the coordination of governance activities across the organization, fostering alignment between management and control functions, driving accountability, and ensuring that key decisions are translated into measurable actions and tangible outcomes.

Key Responsibilities:

  • Develop and maintain an effective governance framework for the Bank that meets regulatory expectations
  • Oversee the local risk management function, including ICT risks, and be responsible for the function towards the local regulator
  • Provide guidance to the local compliance function and be responsible for the function towards the local regulator
  • Establish and foster an efficient governance process including alignment between the control functions and the authorized management
  • Coordinate cross-functional action plans arising from: strategic priorities, board decisions, regulatory inspections, compliance, risk recommendations and audit findings, including the coordination of certain external and internal audit engagements
  • Implement reporting, KPIs and action plans following key objectives & initiatives
  • Ensure that ESG considerations are integrated into the Bank's governance, risk management, strategy execution, and regulatory reporting framework

 

What It Takes:

  • Master’s degree in law, Corporate Governance, Business Administration, Finance, Economics, or a related field
  • Corporate Governance Institute, ILA Luxembourg, ICSA/CGI, or equivalent governance qualification is advantageous
  • Minimum of 10 years in a similar position within a regulated environment, banking and financial services
  • Strong knowledge of Luxembourg banking regulations and corporate governance practices
  • Experience interacting with regulators and senior executives
  • Ability to assess risks against the bank’s risk appetite, internal policies, and regulatory requirements
  • Experience in secondline control functions (risk, compliance, internal control). Capacity to solve problems, identify options and propose innovative solutions, self-starter approach
  • Leadership and Influence skills
  • Independence and professional judgement
  • Strong organizational and personal skills
  • Strong ethical standards
  • Fluency in English. French being an asset
