Restructuring & Special Situations Group Overview:

The Restructuring and Special Situations Group (“RSSG”) advises large and middle market companies, creditor groups, private equity sponsors, and boards of directors in financially distressed situations, both in out-of-court restructuring and strategic advisory transactions as well as in chapter 11 bankruptcy proceedings. The group has been involved in many of the largest and most high-profile reorganizations that have occurred over the past few decades, including restructurings for Avaya, Caesars, Delta Airlines, Enron, Ford Motor Company, General Motors, Greece, iHeartMedia, Intelsat, J. Crew, LatAm Airlines, PG&E, Puerto Rico, and Westinghouse. In a restructuring transaction, a wide range of strategic advisory services are provided including advice on recapitalizations, reorganizations, exchange offers, distressed mergers and acquisitions, raising debt and equity capital, and providing expert witness testimony on a variety of topics including corporate valuation.

Upon completion of training, Analysts will have the opportunity to develop a diverse and broad corporate finance skillset. Financial restructuring transactions are complex and involve multi-party negotiations with a number of key stakeholders including, among others, a board of directors, management, secured and unsecured lenders, and equity holders. As the group utilizes relatively lean deal teams, Analysts are integral to all aspects of a deal and are involved with the development, structuring, and financing of transactions and regularly attend both client and internal meetings, negotiations, and due diligence sessions.

Roles & Responsibilities:

Typically, Analyst responsibilities will include: 

  • Building comprehensive financial models to be used as part of restructuring transactions, capital raises, and/or corporate valuations;

  • Performing on-site due diligence with the client;

  • Developing detailed business plans;

  • Analyzing credit and other governing documents;

  • Evaluating financial returns to current and potential investors;

  • Attending key negotiating and strategy sessions;

  • Attending board meetings;

  • Assisting in the preparation of a key documentation related to various restructuring transactions

Analysts will work on a wide range of transactions including chapter 11 bankruptcy proceedings and out-of-court restructurings, both of which may involve recapitalizations, exchange offers, and distressed mergers and acquisitions, as well as debt and equity capital raises.

Qualifications:

We seek to hire individuals who are highly motivated, intelligent, and have demonstrated excellence in prior endeavors. In addition to strong analytical and quantitative skills, a successful candidate should have:

  • Strong communication skills;

  • A demonstrated ability to write effectively;

  • A desire to work in a fast-paced team environment

Prior investment banking and/or capital markets experience is desirable.

Requirements:

To be considered for the 2027 Analyst Program, applicants must meet the following criteria:

  • Currently enrolled as an undergraduate* student or recently graduated

  • Anticipated graduation date: Fall 2026 – Spring 2027

  • Completion of bachelor’s degree prior to anticipated start date

  • Commitment to a 2-year Analyst program, concluding in mid-2029

Expected Annualized Base Salary of $120,000

This range represents the low and high ends of the expected annualized base salary for this position. The specific base salary received by any employee will be informed by a number of factors, including but not limited to, role level and scope, location, candidate’s relevant qualifications, skills and experience.

Base salary is one component of PJT Partners’ compensation structure. In addition to base salary, PJT Partners’ compensation structure may include additional rewards, incentives and benefits, including but not limited to, a discretionary bonus component.
