Affiliate Program Terms & Conditions

These Affiliate Program Terms of Service (“Terms”) govern your participation in the affiliate marketing program (“Affiliate Program”) offered by Apply All, Inc. (“Apply All,” “we,” “us,” or “our”), including through the use of the Tolt (tolt.io) affiliate management platform. By submitting an application to join or by participating in the Affiliate Program, you (“Affiliate,” “you,” or “your”) agree to comply with these Terms, as well as all applicable laws and regulations. If you do not agree to these Terms, you are not permitted to participate in our Affiliate Program.

1. Enrollment and Acceptance

1.1 Application To become an Affiliate, you must complete and submit the Affiliate Program application through Tolt or any other process specified by us. We reserve the right, at our sole discretion, to accept or reject any application for any reason.

1.2 Acceptance Acceptance into the Affiliate Program will be confirmed in writing (e.g., via email). If your application is accepted, you agree to abide by all the Terms and any additional rules or guidelines we may provide.

2. Affiliate Obligations

2.1 Promotion of Our Services As an Affiliate, you agree to use your best efforts to market and promote Apply All’s platform and services in a manner consistent with good business ethics and in compliance with all applicable laws, regulations, and guidelines (including, without limitation, FTC guidelines).

2.2 Prohibited Activities You may not engage in any of the following activities while participating in the Affiliate Program:

  • Brand Bidding. You may not bid on or purchase keywords in any pay-per-click (“PPC”) or pay-per-impression (“PPI”) campaigns on any search engine (e.g., Google, Bing, Yahoo) using our brand name, domain name, or any variations, misspellings, or derivations thereof. Examples include (but are not limited to):
    • applyall
    • apply all
    • applyall promo code
    • applyall.com reviews
    • applyall reviews complaints
    • applyall reviews
    • applyall brand
    • Or any other variations or misspellings of our brand terms.
  • Misrepresentations. You may not make false or misleading claims about Apply All’s services, misrepresent the relationship between you and Apply All, or suggest that you are endorsed by or partnered with Apply All in any way other than being an Affiliate.
  • Spam. You may not use unsolicited commercial email (“SPAM”) to promote Apply All’s services, or otherwise violate any anti-spam laws and regulations.
  • Deceptive or Illegal Practices. You may not use any technique that involves cookie stuffing, pop-ups, redirects, misleading links, false advertising, or other deceptive or illegal methods of promotion.
  • Inappropriate Content. You may not place affiliate links on sites or platforms that contain defamatory, obscene, abusive, violent, or illegal content. Additionally, any website or platform used for affiliate promotions must comply with all applicable laws and not infringe on any third-party rights.

2.3 Compliance with Guidelines You must comply with all guidelines provided by Apply All, including any creative restrictions, branding guidelines, and promotional strategies we supply. You must ensure that your promotional materials do not infringe upon any third-party rights (including intellectual property rights).

3. Affiliate Links and Promotional Materials

3.1 Affiliate Links Upon acceptance into the Affiliate Program, you will receive a unique affiliate link or code. You must use this link/code when promoting Apply All to track referrals accurately. You are solely responsible for ensuring that your affiliate link is used correctly.

3.2 Promotional Materials We may provide you with promotional materials such as banners, text links, graphics, or other marketing assets. You may use these materials for the sole purpose of promoting Apply All and driving traffic to our website. We reserve the right to change or discontinue any promotional materials at any time.

4. Commissions and Payments

4.1 Commission Structure You will earn commissions for qualifying referrals as stated in the commission structure posted on Tolt or any other method we provide. A “qualifying referral” is a referral that meets all the criteria set forth by Apply All, including but not limited to timely tracking with a proper affiliate link and successful subscription or purchase by the referred user.

4.2 Payment Terms

  • Schedule. Commissions will be paid according to the schedule specified in Tolt or as otherwise communicated by us.
  • Method. Payments will be made via the payment method specified in your affiliate account.
  • Minimum Threshold. If a minimum threshold is required for payout (e.g., $50), commissions will only be paid once you have met or exceeded that threshold.

4.3 Refunds and Chargebacks If a referred user’s payment is subject to a refund, chargeback, or is otherwise invalidated, we reserve the right to deduct the corresponding commission from your account or invoice.

5. Intellectual Property

5.1 License Grant We grant you a non-exclusive, revocable, limited license to use our logos, trademarks, and other intellectual property solely for the purpose of promoting our services in connection with the Affiliate Program, subject to these Terms.

5.2 Restrictions

  • You may not modify our logos, trademarks, or other intellectual property without our prior written consent.
  • You may not register or use any domain names, social media profiles, or other identifiers containing our trademarks or confusingly similar terms.

5.3 Ownership All intellectual property rights not expressly granted herein are reserved by Apply All. You acknowledge that all rights, title, and interest in and to our trademarks, logos, and other intellectual property remain with Apply All (and/or its licensors).

6. Relationship of Parties

You and Apply All are independent contractors. Nothing in these Terms shall be construed to create a partnership, joint venture, franchise, sales representative, or employment relationship between the parties. You have no authority to make or accept any offers or representations on our behalf.

7. Confidentiality

You agree not to disclose any confidential information that we may share with you, such as business practices, technical information, or any other non-public information about our products, services, or company, unless required by law.

8. Term and Termination

8.1 Term These Terms shall begin upon acceptance of your Affiliate Program application and continue unless terminated in accordance with this Section.

8.2 Termination by Either Party Either party may terminate these Terms at any time, with or without cause, by giving the other party written notice (including via email).

8.3 Termination for Breach We may terminate your participation in the Affiliate Program immediately if we determine, at our sole discretion, that you have breached any provision of these Terms or engaged in any activity that could cause harm to us or our brand.

8.4 Effect of Termination Upon termination, you must immediately cease all promotion of Apply All and remove all affiliate links, banners, and branding from your websites, emails, and other marketing materials. Any commissions earned up to the termination date will be paid out in accordance with Section 4, provided that you are not in breach of these Terms.

9. Representations and Warranties

9.1 Your Representations You represent and warrant that:

  • You have all necessary rights, power, and authority to agree to these Terms and to perform your obligations hereunder.
  • You will comply with all applicable laws, regulations, and guidelines (including FTC endorsement disclosure rules) in your marketing and promotional efforts.

9.2 Disclaimer EXCEPT AS EXPRESSLY SET FORTH IN THESE TERMS, WE MAKE NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, WITH RESPECT TO THE AFFILIATE PROGRAM OR OUR SERVICES.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER APPLY ALL NOR ITS AFFILIATES, SUPPLIERS, OR LICENSORS SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING OUT OF OR RELATED TO THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE TOTAL COMMISSIONS PAID OR PAYABLE TO YOU UNDER THESE TERMS.

11. Indemnification

You agree to indemnify, defend, and hold harmless Apply All, its affiliates, and their respective officers, directors, employees, agents, successors, and assigns from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your breach of these Terms;
  • Your use (or misuse) of the affiliate links and promotional materials;
  • Your infringement or violation of any intellectual property, privacy, or other rights of any third party;
  • Your violation of any laws, regulations, or guidelines in connection with your marketing activities.

12. Modification

We may modify these Terms at any time by posting a revised version on our website or notifying you through Tolt or other means. The modified Terms will become effective upon posting or on any later date specified in the revised Terms. Your continued participation in the Affiliate Program after such posting or notification constitutes your acceptance of the modifications.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms shall be exclusively resolved in the state or federal courts located in [Location in Delaware], and you consent to personal jurisdiction and venue in such courts.

14. Entire Agreement

These Terms, together with any additional guidelines or rules posted on Tolt or our website, constitute the entire agreement between you and Apply All regarding your participation in the Affiliate Program, and supersede all prior agreements, understandings, or communications.

15. Severability and Waiver

If any provision of these Terms is found to be invalid or unenforceable, such provision shall be severed, and the remaining provisions shall remain enforceable. Our failure to enforce any right or provision shall not be deemed a waiver of that right or provision.
